DBA/Fictitious Business Name Filings
“Doing Business As” is a public registration of a business name. The business can be any type of legal entity, (corporation, partnership, limited liability company, sole proprietorship). Filing a DBA registers a business name for purposes of conducting business, banking, marketing or any other purpose wherein a business intends to operate under another name in addition to its legal name.
Trademarks
A trademark is a phrase, word, design or symbol or a combination thereof, that
sets apart and identifies the source of products of one party from those of
another. A trademark application is filed with the appropriate governmental
agency.
The ® near the trademark is a symbol that indicates a legal right to display the trademark. Trade marking lessens lawsuits involving infringement or domain name problems.
A “Service Mark” is similar however it identifies and sets apart the source of a service rather than a product.
Copyrights
A copyright is protection for work that is fixed to a tangible medium. A
copyright application is filed with the U.S. Copyright Office with the fixed
medium. A copyright gives the owner a legal right to the exclusive use and
rights to reproduce, distribute, perform or display the work publicly and
prepare derivative works.
Nominee Director Service
A nominee director acts in place of an owner, officer or employee of a business
entity. A ND can prepare and submit all governmental and regulatory filings and
reports, exercise discretional authority, perform lawful activities and
undertake any other reasonable action to ensure the legal operation for the
business entity. The duties of the ND are defined in the nominee director
contract. By law CIS cannot help you apply for credit or any government issued
licenses or permits.
Apostille
An apostille is a certification issued by a state government that is attached to
the original document to verify the document and the signature of the county
official who signed the certification that they are legitimate and therefore can
be accepted internationally. This is similar to a notary public function.
Registered Agent for Service of Process
A registered agent acts as the representative for accepting service of process
(civil subpoena) served upon a business entity within jurisdiction of any state
where the company conducts business. Failure to designate a registered agent may
foreclose or hinder the company’s ability to legally enter into contracts and gain access to state courts. Failure to designate can also cause the business entity to fall out of “good standing” within the state. The Secretary of State can penalize and suspend the business entity for such failure.
CIS can act as an agent for service of process; all subpoenas directed to a business entity will be delivered to CIS. This can eliminate the embarrassment of being served at the office or home.
Shelf Corporation
A shelf corporation, also called an aged corporation, is a corporation that has
had no or very limited activity. It was created and put on the “shelf” to age. This corporation is then later sold to someone who would prefer to have an aged company rather than a new one. CIS certifies each shelf corporation to be without encumbrances.
Common reasons to buying a shelf corporation include:
- Saving the time involved in taking the steps to create and maintain a new corporation;
- Gaining the opportunity to bid on contracts. Some states require that your company be in business for a certain length of time;
- Creating an appearance of corporate longevity;
- Access to investment capital; and
- Easier access to credit.
